Overview

Tyler’s practice focuses on a variety of transactional matters related to the energy industry including financings and secured transactions, asset and real property sales and acquisitions, surface use and lease agreements, corporate formation, title review, and advising clients on local, state, and federal regulatory and permitting matters.

Prior to joining Fredrikson, Tyler served as a judge advocate in the U.S. Marine Corps and was a Special Assistant U.S. Attorney for the Middle District of Georgia.

Experience

Transactional

  • Draft and negotiate credit agreements, mortgages, promissory notes, security agreements, and personal and corporate guarantees
  • Provide local counsel guidance to local and national banks on North Dakota UCC secured transactions, mortgage laws and loans secured by real property and other assets, including the preparation of mortgage enforceability opinions
  • Draft and negotiate purchase agreements for real property and assets
  • Advise clients on corporate matters including entity formation and dissolution, start-up fundraising, preparation of corporate and limited liability organizational documents, independent contractor agreements, and confidentiality and non-disclosure agreements
  • Draft and negotiate easements and lease agreements for commercial, industrial and energy related projects

Regulatory and Legislative

  • Advise operators, non-operators and other stakeholders in the energy industry on local, state and federal regulatory matters, including the permitting of energy conversion facilities, energy transmission lines, and carbon capture and sequestration facilities
  • Work with clients and advocacy groups in the preparation of legislation relating to matters affecting the energy industry

Litigation

  • Represent operators and non-operators in matters concerning breach of contract, lien foreclosures, quiet title matters and administrative proceedings
  • Represent banks and lenders in enforcing remedies under loan documents

  • Prepare drilling and division order title opinions and advise operators on title curative matters
