Thomas J. Bush

Thomas specializes in guiding clients through complex business transactions, from early-stage startup financings to merger and acquisition deals, while providing practical legal support for businesses at all stages of growth along the way.

His practice has a particular emphasis on representing entrepreneurs and investors in emerging company and venture capital transactions. His expertise also encompasses a wide range of other corporate matters, such as mergers and acquisitions (M&A), corporate governance and commercial transactions.

• Draft and negotiate issuer-side offering documents for Series Seed through Series A equity financings for clients with pre-money valuations up to $45M.
• Represent small and midsize businesses (SMBs) in buy-side and sell-side M&A transactions with enterprise values ranging from $1M to $10M.
• Advise middle-market corporate clients on M&A due diligence and related transactional matters.
• Perform outside general counsel and other corporate governance functions, such as drafting NDAs, SaaS agreements, POs, commercial contracts, board and shareholder resolutions, equity incentive plans and entity formation documents.
