Fredrikson & Byron attorney John H. Stout received the Lifetime Achievement Award at the 22nd annual Outstanding Directors event presented by Twin Cities Business Magazine. Stout was honored for his devotion to good governance principles and practices for more than 30 years.
In August 2014, Stout completed a three-year term as chair of the Corporate Governance Committee of the American Bar Association’s Business Law Section. In April 2014, he was appointed to the Governing Council of the ABA’s Business Law Section. He currently serves as vice chair of the Business Law Section’s Committee on Corporate Social Responsibility and serves as co-chair of the Governance Committee’s sub-committee on Artificial Intelligence.
Stout advises executives, boards and individual directors and officers of for-profit and nonprofit organizations on a variety of domestic and international governance matters, including sustainability (ESG) and corporate social responsibility (CSR), risk assessment, internal investigations, board and director evaluations and performance improvement, Artificial Intelligence (AI) oversight, and the legal implications of business strategies and decisions. Stout co-chairs Fredrikson’s Corporate Governance and Corporate Sustainability & Social Responsibility Groups and its working committee on artificial intelligence. He has served as an expert witness on governance in litigation and arbitration proceedings.
Stout serves as a director of several nonprofit and for-profit corporations. He is a former director of the Center for International Private Enterprise, Washington, D.C., the National Association of Corporate Directors (and co-founder of its Minnesota Chapter), and a former trustee of Carleton College. He is an adjunct professor, teaching a governance course at the University of St. Thomas Law School and frequently writes and speaks on corporate governance matters. Stout is a Fellow of the American Bar Foundation and a member of the American College of Governance Counsel.
