Youn-Jin’s practice focuses on private equity mergers and acquisitions, strategic mergers and acquisitions, and exit transactions for private growth companies and other private capital investments.

Youn-Jin has represented national and regional private equity firms, strategic buyers, venture-backed growth companies, domestic and foreign venture capital firms, and public companies in mergers and acquisitions transactions in values ranging from several billion to several million dollars. He helps his clients find practical and cost-effective solutions to various legal and business challenges in transactions.

  • Represented a Toronto-based private equity firm in its acquisition of a national outdoor advertising services firm. 
  • Represented a Bay Area-based private equity firm in its acquisition of a leading design and custom development business targeting food processing equipment specializing in vegetables, fruits, and confectionary markets.
  • Represented a Twin Cities-based private equity firm in its platform and add-on acquisitions of cloud-enabled, technology-driven background screening and monitoring services businesses.
  • Represented a private equity-sponsored, world’s largest franchisor of home service brands in its acquisition of a lawn care service and turf management services business.
  • Represented a private equity-sponsored, world’s largest franchisor of home service brands in its acquisition of junk removal and recycling solutions business.
  • Represented a Bay Area-based private equity firm in its acquisition of a leading design and production business providing audio, video, and control modules used in professional audio-visual systems.

  • Represented a national private equity-sponsored integrated payments solutions provider in its acquisition of a payment facilitating services provider processing more than $20 billion annually.
  • Represented a Minnesota-based private equity firm in its acquisition of a leading technology-enabled business services company which provides companies with background screening services.
  • Represented a private equity-sponsored industrial engineering and manufacturing company in its acquisition of a leading, privately-held manufacturer of hydraulic fracturing pumps.

  • Represented a private equity-sponsored, world’s largest franchisor of home service brands in its acquisition of a professional home inspection services franchisor.
  • Represented a private equity-sponsored, national leading manufacturer and distributor of aftermarket branded towing products and vehicle accessories in its stock sale to a publicly traded manufacturer of high-tech recreational vehicle products ($340 million).
  • Represented a Shanghai-based private equity fund in its investment of $13 million (Series A round) in a Cayman Island holding company that has operations in both Israel and Hong Kong.
  • Represented a regional vehicle wash and detailing business in its asset sale to a private wealth management advisory firm.
  • Represented a Bay Area-based private equity firm in its sale of a leading provider of vacuum solutions to car wash operators to a national private equity firm.
  • Represented a leading national middle market private equity firm in its sale of a national designer, marketer and distributor of branded aftermarket wheels to another national private equity firm ($405 million).

  • Represented a Korean healthcare and clinical lab services provider in its acquisition of a California clinical lab services business
  • Represented a U.S. animal-centric lighting design and manufacturing company in its merger with a world leading lighting company. 
  • Represented a national multi-brand franchise company in it acquisition of a leading national professional swim lesson franchise company. 
  • Represented a publicly traded Irish medical device company in its acquisition of a legacy diabetic device business from a leading European medical device maker. 
  • Represented a publicly traded Dutch medical device company specializing in orthopedic extremity surgical solutions products in its stock-for-stock merger with a publicly traded global medical device/biologics company based in U.S. ($3.3 billion).
  • Represented Uroplasty in its stock-for-stock merger with Vision-Sciences ($50 million).
  • Represented a privately held company specializing in minimally invasive interventional pulmonology devices in its sale to a publicly traded Irish medical device/pharmaceutical company ($300 million).
  • Represented a publicly traded Dutch medical device company specializing in orthopedic extremity surgical solutions products in its acquisition of a lower extremity device company based in U.S. ($135 million plus earnout).
  • Represented a publicly traded leading U.S. manufacturer and retailer of air beds in its acquisition of another air bed manufacturer ($15.5 million).
